Bylaw I.          Objectives and Purposes

In amplification of the purposes for which STRIPED BASS CONSERVATION COALITION, Inc. has been formed, as set forth in the Declaration and Petition for Incorporation, the purposes and objectives are to Promote, Preserve, and Protect both freshwater and saltwater striped/hybrid bass fishing through organized fellowship and education.

Bylaw II.        Definitions

When used in these Bylaws:

a.       Bylawsmeans the Bylaws of the Coalition.

b.       Coalitionmeans STRIPED BASS CONSERVATION COALITION, Inc., a South Carolina non-profit corporation.

c.        Membermeans both Active and Inactive Members.

d.       “Type” unless otherwise specified means both Conservation and Competition.

e.        Principal Officemeans 209 Ashore Street, Greer, South Carolina, unless otherwise changed by the Board of Directors.

Bylaw III.       Coalition Membership

Section 1.              Classes of Membership:  There shall be two classes of Members:  Active members and Inactive Members.

a.       Active Members: Have paid all initiation fees and dues, as stated in Bylaw IV Section 1.  

b.       Inactive Members:  Any person who fails to complete payment of applicable fees or dues as specified in Bylaw IV is an Inactive Member.  Inactive members shall not be eligible to vote, fish in Coalition tournaments, or accumulate Coalition Points.

Section 2.              Type of Membership:  There shall be two type of Members which shall be referred to as Associate Members and Conservation Members. 

a.       Associate Membership shall be granted FREE to any person expessing the desire to receive our literature and learn more about the striped bass fishery.  However, Associate membership can be revolked by the board of directors.  Conservation Members:  The basic core of the Coalition shall be the Conservation Membership.  Everyone involved in the Coalition must be a Conservation member and must voluntarily express a genuine interest in the purpose of the Coalition as stated in Bylaw I.  Additionally, they must;

·         Must be a legal resident of the United States of America.  

·         Must be 18 years of age or older unless covered by a family membership: i.e. any Active Member and his or her spouse along with children under age 18. 

·         Any children covered by the Family Membership may become an Active Member upon reaching age 18 and paying annual dues as stated in Bylaw IV. Section 2a.

·         The initiation fee, as stated in Bylaw IV Section 1, is waved only if a qualifying Member exercises this option at age 18. 

·         Must pay all fees and dues as stated in Bylaw IV.

·         Coalition memberships may be upgraded based on other opportunities members may want to participate in.

b.       Competition Membership Upgrade: All Competition members must also be Conservation members of the Coalition.  Competition membership fees shall include the Coalition membership dues.  50% of the Competition fees go into the Coalition Conservation Fund.  Conservation members who want to compete in Coalition competitions may pay an Upgrade fee at any time to compete in Coalition sponsored events.  NOTE: Inactive members shall not be eligible to vote, fish in Coalition tournaments, or accumulate Coalition Points.

Section 3.              Application of Membership.  All applicants shall complete a membership application.  No Applicants shall be rejected because of race, creed, color, sex, or religious beliefs.  However, this organization has been established by those believing in the Christian faith which shall be recognized openly during organizational activities and not be removed except by dissolution of the Coalition.

Section 4.              Evidence of Membership.  The Coalition may, but shall not be required to, issue certificates or other evidence of membership in the Coalition.

Section 5.              Voting Rights. 

a.       Number of Votes.   There shall be one (1) vote for each Active Adult Member (18 years or older) in attendance.

b.       Who may Vote.  An Active Member shall be entitled to vote on each matter submitted to a vote of the members.  Inactive Members shall have no vote concerning Coalition affairs until their active status is reinstated. 

c.        Proxies.  There shall be no voting by proxy.

Section 6.              Termination, Suspension, and Reinstatement of Privileges of Membership.

a.         Termination and Suspension.   A majority of the Board of Directors present at any regular or special meeting may suspend or terminate any or all privileges of any Member for any action which would bring dishonor and/or disgrace to the Coalition, or for violation of any provision of the Coalitions purpose, Bylaws or rules.  Any suspension shall be for a period determined by a majority of the Board of Directors.

b.         Reinstatement.  Upon written request signed by a former Member and filed with the Board of Directors and with an affirmative majority vote of the Board of Directors, the Board may reinstate such former Member to membership on such terms as the Board may deem appropriate.

Section 7.              Record of Members.  The Coalition Executive Director and/or BOD Secretary shall keep a current roll of each Members address, which shall be available at reasonable times to any Member on review, but may not be copied.

Bylaw IV.       Initiation Fees and Dues

Section 1.              Annual Membership Fees/Dues.  The Annual Conservation Membership Fee/Dues shall be twenty dollars ($20.00) per application which shall be considered a Family Membership.  Family memberships shall include up to a maximum of two (2) Adult Memberships.  One adult member shall be the Primary Member and the second adult member shall be a Spouse Member.   Additionally, all youths in the household age 18 or less, are included in the Conservation Membership.  Children of members who are attending school full time can be included on the family membership as long as the student is enrolled full-time.

Section 2.              Annual Competition Upgrade Fees. 

a.       Competition Upgrade Fees shall be twenty ($20.00) per year per Conservation Membership and shall cover all members of the  or family included in the Conservation Membership.

b.       All Conservation Membership Fees/Dues and all Competition Upgrade Fees are valid from the date paid until the following November 1st.  Next years Fees/Dues must be paid to participate in the Striped Bass Classic and National Championship.

c.        Non-members may compete with a member by paying a $10 Guest Competition Fee at each event they participate in except the National Championship.  All participants in the National Championship must be Competition Members. 

d.       Any fees or dues or portions thereof are nonrefundable.

Bylaw V.        Meetings

 

Section 1.              General Members Meetings. 

  1. Schedule: The General Members meeting shall be held once a year at the Striped Bass Classic National Championship, or as otherwise specified by the Executive Director, or the president of the Board of Directors.
  2. Location: The location of general meetings shall be determined by the Executive Director, or the President of the Board of Directors.
  3. Notice.  The Executive Director or the President of the Board members calling the special meeting shall set forth the purpose or purposes of the special meeting in a written notice to the members on the SBCC website.
  4. Business.  The business of the General Membership shall be presided over by the Coalition Executive Director.

Section 2.              Special Members Meetings. 

a.       Calling Special Meetings.  A special meeting of the Members may be called by the Executive Director, or the President of the Board of Directors.

b.       Notice.  The Executive Director or the President of the Board members calling the special meeting shall set forth the purpose or purposes of the special meeting in a written notice to the members on the SBCC website.

c.        Business.  No business shall be conducted at a special meeting other than the business stated in the notice of the meeting.

Section 3.              Board of Advisors (BOA) Meetings:

  1. Schedule:  The BOA meeting shall be held no less than once a year and shall generally be held at the Striped Bass Classic National Championship, or as otherwise specified by the Executive Director, or the president of the Board of Directors.
  2. Location: The location of general meetings shall be determined by the President of the Board of Directors.  Notice.  The Executive Director or the President of the Board may call a special meeting as needed.  The BOD President calling the special meeting shall set forth the purpose or purposes of the special meeting in a written notice to the members on the SBCC website. 
  3. Business.  No business shall be conducted at a special meeting other than the business stated in the notice of the meeting.  No Coalition BOD member, except the member holding the BOD President and 1st Vice President position, can hold a voting role and/or membership on the BOA.

Section 4.              Board of Directors (BOD) Meetings. 

a.       The BOD Members meeting shall be held once a month except the month of December and/or as otherwise specified by the Executive Director, or the president of the Board of Directors.

b.       The location of BOD meetings shall be determined by the President of the Board of Directors.

c.        Calling Special Meetings.  A special BOD meeting may be called by the President or by a majority of the Board of Directors.

d.       Notice.  The President or Board members calling the special meeting shall set forth the purpose or purposes of the special meeting in a written notice to each member of the BOD. 

e.        Business.  No business shall be conducted at a special meeting other than the business stated in the notice of the meeting.

Section 4.              Quorum.  A quorum for general membership or special meetings shall consist of forty Active Members, or 10% of the Active Members participating in scheduled activities, whichever is less.

 

Section 5.              Voting.  Except as otherwise required by law or by other provisions of these Bylaws, at any meeting at which a quorum is present, a majority of the votes cast shall be necessary for the adoption of any matter voted upon by the Active Members.

Bylaw VI.       Powers and Authority

Section 1.              Powers of the Coalition BOD and Members.  The general affairs of the management of the Coalition shall be vested in the Board of Directors (BOD).  However, the members shall have those powers assigned by the BOD to vote on Coalition matters submitted to the general membership for a vote.

BOD: The following powers and authority shall be exercised by members:

a.       to adopt a and approve issues submitted to them by the BOD for general membership vote;

b.       to serve as members of committees authorized by the BOD;

c.        to fill open seats on the Board of Advisors (BOA);

d.       to do all other things necessary to assist the BOD in managing and operating the Coalition.

Section 2.              Powers of the Board of Directors.  The Board of Directors shall have the following limited powers:  The following powers and authority shall be exercised by BOD by resolutions passed at BOD meetings:

a.       to adopt and/or approve the annual budget submitted by the BOD President, and to approve the amounts of all Member dues and fees;

b.       to Authorize and appoint Coalition Committees  and members of committees;

c.        to fill open seats on the Board of Directors appointed by the BOD President;

d.       to collect the dues and fees, deposit the proceeds thereof in a bank depository which it shall approve, and use the proceeds in the conduct of Coalition affairs;

e.        to open bank accounts on behalf of the Coalition and designate the signatures required;

f.        to obtain and carry adequate insurance against casualties and liabilities arising from membership in the Coalition;

g.        to do all other things necessary for managing and operating the Coalition

Bylaw VII.     Officers of the BOD

Section 1.              Officers.  The officers of the Coalition BOD shall be a President, a 1st 2nd and 3rd Vice President, a Secretary, and a Treasurer.

Section 2.              Method of Election.  The President of the BOD is hereby appointed for life.  All open BOD positions are appointed by the BOD president and approved by a majority vote of the BOD. 

Section 3.              Other Officers.  The BOD may elect such other officers and assistant officers from the Active Members of the Coalition as it may from time to time find necessary or expedient.

Section 4.              Terms of Officers.  All officers shall serve for a term of three (3) year, or until their successors are appointed/elected.  Officers may be re-elected or re-appointed for any number of terms.  Any vacancies in any office shall be filled by the President of the Board of Directors.

Section 5.              Duplication of Office.  Any two or more offices may be held by the same person, except the offices of President and Secretary.

Section 6.              President.  The President shall be the chief executive officer of the Coalition, shall preside at all meetings of the BOD at which he is present, shall exercise general supervision of the affairs and activities of the Coalition, and generally shall exercise the powers and duties of a president of a nonprofit corporation.  The President shall be an ex-officio member of all committees and shall be the immediate supervisor of the Coalition Executive Director.

Section 7.              Vice President.  The Vice President shall perform all duties of the President during any absence of the President.

Section 8.              Secretary.  The Secretary or his designee, shall attend all meetings of the Members;  he shall be responsible for recording all votes and keeping minutes of the business and other matters transacted.  He shall mail, or cause to be mailed, all notices required under the Bylaws.  He shall have custody of the corporate seal and records, and maintain a reasonably current list of the Members and their addresses.  He shall perform all other duties incident to the office of Secretary.

Section 9.              Treasurer.  The Treasurer shall be responsible for the custody of the funds of the Coalition, for collecting monies due, for paying the obligations of the Coalition out of its funds, for presenting the annual budget, and shall perform such other duties as are incident to the office of Treasurer.  The BOD may require that the Treasurer be bonded for such amount and under the conditions as the BOD may require.

Bylaw VIII.    Fiscal Year

The fiscal year of the Coalition shall begin on the first day of January of each year, except that the first fiscal year of the Coalition shall begin at the date of incorporation.

Bylaw IX.       Release

By becoming a member of the Coalition, each Member and their immediate family agrees to forever and irrevocably release and discharge the Coalition, its successors and assigns, of and from all claims, causes of actions, suits, costs, liabilities, demands and damages, whether in law or equity, both known and unknown, of any kind whatsoever, arising in or out of being a member of the Coalition tournaments.

Bylaw X.        Changes to Bylaws

These Bylaws may be amended only at a regular meeting of the BOD after notice of the proposed amendment has been announced at the two immediately preceding regular meetings, and by the vote of a majority of the BOD present.

Bylaw XI.       Elections of Board of Advisors

a.                   The Board of Advisors shall consist of the BOD President and BOD 1st Vice President and seven members selected from the general membership.  The 1st Vice President shall chair the BOA meetings.

b.                   The BOA members-at-large shall be elected from among the Active Members at the Coalition at the Annual meeting and shall assume duties on January 1 thereafter.

c.                    BOA Members-at-large shall be elected by a majority vote of the Active Coalition Members present.

d.                   Terms of the BOA members-at-large shall be for a term of one (1) year

e.                    Any Active Member shall be eligible for re-election.

f.                    Any member-at-large of the Board of Advisors vacancy shall be filled by appointment of the BOD President and approved by the Coalition BOD.

Bylaw  XII.    Committees

Section 1.              Standing Committees

a.                   Tournament and Wildlife Committee (TWC).

(1)                 At the discretion of the Region Tournament Director, a Tournament and Wildlife Committee may be organized from the active members from that region.

(2)                 The Tournament and Wildlife Committee shall help develop the tournament schedule, tournament rules, and make recommendations concerning tournament affairs.

(3)                 The chairman shall be appointed by the BOD president.

(4)                 Wildlife projects and related expenses thereof shall be presented to the Coalition for approval.

(5)                 The duties of the Tournament and Wildlife Committee shall include seeking avenues to improve, enhance, or better the Striped Bass fisheries.  Other duties of the committee include fund raising projects relating to tournament and wildlife projects.

(6)                 A special projects director/coordinator may be requested by the Tournament and Wildlife Committee to coordinate any special projects deemed necessary by the committee.

Section 2.              Other Committees.  The Board of Directors is authorized to create other committees.

Bylaw  XIII.   Insignia

The present Coalition insignia, colors, decals, etc. shall remain as is unless changed by a majority vote of the BOD present.

Bylaw  XIV.   Dissolution

The Coalition may be dissolved by a majority vote of BOD present.  In the event of dissolution, the residual assets of the Coalition will be turned over to one or more organizations which themselves are exempt as organizations described in Section 501 (c) (3) and 170 (c) (2) of the Internal Revenue Code of 1986 or corresponding Sections of any prior or future Internal Revenue Code, or to the Federal, State, or local government for exclusive public purpose.
